Terms of Service

These Terms of Service ("Terms") govern your access to and use of the peer-to-peer vehicle-rental marketplace operated by the company identified below (the "Platform", "we", "us", "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Operator details: Company: Vrmly LTD · Contact: support@vrmly.com

Version: 1.0 · Effective date: 11 June 2026

Mandatory consumer-protection rules of your country of residence apply and prevail over any conflicting provision of these Terms.

1. What we are (and are not)

1.1 The Platform is an online intermediary: a marketplace that connects private vehicle owners ("Hosts") who wish to rent out their vehicles with individuals who wish to rent them ("Renters"). Hosts and Renters are together "Users".

1.2 The rental of a vehicle is a contract formed directly between the Host and the Renter (the "Rental Agreement") when a booking is confirmed through the Platform. We are not a party to the Rental Agreement. We do not own, sell, rent out, control, inspect, deliver, repair or operate any vehicle, and we are not a car-rental company.

1.3 Our role is limited to providing the technology that lets Users find each other, communicate, agree terms, process payments and complete identity verification. We act as an intermediary and hosting service within the meaning of the e-Commerce Directive 2000/31/EC and the Digital Services Act (Regulation (EU) 2022/2065), and rely on the liability exemptions those instruments provide for information transmitted or stored on behalf of Users.

2. Accounts and eligibility

2.1 You must be at least 18 years old and have full legal capacity to contract.

2.2 You must provide accurate registration information, keep it up to date, keep your credentials confidential, and are responsible for activity under your account. Notify us promptly of any unauthorised use.

2.3 To book or drive a vehicle, a Renter must hold a valid driving licence appropriate for the vehicle and valid for use in Latvia, Lithuania and/or Estonia, and must complete the Platform's identity and driving-licence verification.

2.4 We may refuse, suspend or terminate access where verification fails or where we reasonably suspect fraud, illegality, or risk to Users or the Platform.

3. Host obligations

For each listing, a Host represents and warrants that:

  • (a) they own the vehicle or are otherwise lawfully entitled to rent it out, including under any lease, finance, or insurance terms;
  • (b) the vehicle is roadworthy, technically sound and road-legal, and holds a valid periodic roadworthiness inspection where required;
  • (c) the vehicle carries valid compulsory motor third-party liability insurance as required by law in its country of registration (see §6);
  • (d) the Host has checked their own voluntary own-damage ("casco") policy and any finance or lease terms for restrictions on short-term or peer-to-peer renting, and accepts responsibility for the consequences of renting out the vehicle;
  • (e) the listing — description, photos, price, condition and availability — is accurate and not misleading, and the Host holds the rights to any content they upload.

4. Renter obligations

A Renter agrees to:

  • (a) use the vehicle lawfully and only for permitted purposes, within the agreed dates and territory, and to comply with all traffic and other laws;
  • (b) not allow any person who is not an authorised, verified driver to drive;
  • (c) not drive under the influence of alcohol or drugs, race, drive off-road, sublet, or use the vehicle for hire or reward unless expressly permitted;
  • (d) return the vehicle on time and in the condition received, fuelled or charged as agreed;
  • (e) be responsible for fines, tolls, penalties and damage arising during the rental period, subject to applicable insurance and the deposit (§6–§7).

5. The Platform's role in a booking

5.1 We display listings, enable bookings and messaging, calculate the price, collect payment from the Renter, retain our service fee, and arrange payout of the Host's share through our payment provider (§7).

5.2 We carry out identity and driving-licence checks but do not guarantee the accuracy of User-provided information, the condition or safety of any vehicle, or the conduct of any User. Inspecting the vehicle at handover and recording its condition is the Users' responsibility.

6. Insurance and responsibility for the vehicle

6.1 Compulsory third-party cover. Every vehicle on the Platform must carry the compulsory motor third-party liability insurance required by law — in Latvia "OCTA", in Lithuania the compulsory civil-liability insurance of vehicle holders, and in Estonia "liikluskindlustus". Under Directive 2009/103/EC and the corresponding national laws, this insurance covers personal injury and property damage caused to third parties by the use of the vehicle, and an injured third party has a direct right of action against the insurer. This cover is provided by the Host's insurer — not by the Platform.

6.2 Damage to the vehicle itself. Unless a Platform-arranged protection product is expressly offered and purchased for a booking, the Platform does not provide own-damage, theft or comprehensive (casco) cover. Loss of or damage to the rented vehicle is a matter between Host and Renter under the Rental Agreement: the Renter is liable for damage they cause during the rental, and the Host's own casco policy (if any) and the security deposit (§7) may apply.

6.3 No Platform liability for the vehicle. To the maximum extent permitted by law, we are not liable for any death, injury, loss or damage arising out of the condition, use, operation or rental of any vehicle, or out of the acts or omissions of any User. This does not limit liability that cannot be excluded by law, including liability for our own intent or gross negligence, or mandatory consumer rights.

6.4 Future protection products. Where we later make a trip-protection product available (for example through a licensed insurer), it will be distributed in accordance with the Insurance Distribution Directive (EU) 2016/97 under separate insurance terms presented at booking, and this §6 will be updated accordingly.

7. Prices, payments, fees and deposit

7.1 The price shown at booking includes the Host's rental price (less any duration discount), any delivery fee, and our service fee. All amounts are in EUR and shown before you confirm.

7.2 Payments are processed by our payment provider, Stripe. By confirming a booking you authorise the corresponding charge. We are not a bank and do not hold client funds outside the payment provider's regulated flow.

7.3 Security deposit (optional). A Host may, at their discretion, require a refundable security deposit. Where set, it may be authorised or held and then released, or partially retained, to cover damage, fines or breaches under the Rental Agreement, with supporting evidence and subject to applicable law. Many listings have no deposit.

7.4 Our service fee is non-refundable except where a refund is required by law or by the applicable cancellation policy.

8. Cancellations and the right of withdrawal

8.1 Cancellation rights and any refunds follow the cancellation policy shown at booking and the Rental Agreement. Where a booking is declined by the Host or cancelled within the policy, the corresponding charge is refunded, less a small non-refundable payment-processing fee disclosed at cancellation.

8.2 Right of withdrawal. Vehicle rental is a service provided for a specific date or period of performance. Under Article 16(l) of the Consumer Rights Directive 2011/83/EU, the 14-day right of withdrawal for distance contracts does not apply to such bookings. Your other mandatory consumer rights are unaffected.

9. User content and reviews

9.1 Users may post content such as listings, photos, messages and reviews. You must hold the necessary rights to anything you upload, and it must be accurate, lawful and not infringe others' rights.

9.2 You grant us a non-exclusive, worldwide, royalty-free licence to host, display and use your content for operating and promoting the Platform. Reviews must reflect a genuine experience; we may remove content that breaches these Terms or the law.

10. Prohibited conduct

Users must not: provide false information; circumvent the Platform to avoid fees; use the service for any unlawful purpose; infringe others' rights; harass other Users; or attempt to disrupt, reverse-engineer or misuse the Platform.

11. Suspension and termination

We may suspend or terminate an account for breach of these Terms, legal requirements, fraud, or risk to Users or the Platform. You may stop using the Platform and close your account at any time; obligations accrued before closure survive.

12. Intellectual property

The Platform, its software, design, trademarks and content (other than User content) are owned by us or our licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the Platform under these Terms; no other rights are granted.

13. Liability of the Platform (general)

13.1 We provide the Platform "as is" and "as available" and do not warrant that it will be uninterrupted or error-free.

13.2 To the maximum extent permitted by law, our aggregate liability to a User arising from our provision of the Platform is limited to the total service fees that User paid to us in the 12 months before the event giving rise to the claim.

13.3 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including mandatory consumer-protection rights and liability for intent or gross negligence.

14. Data protection

We process personal data as a controller in accordance with the GDPR (Regulation (EU) 2016/679) and our Privacy Policy, which forms part of these Terms and is available on the Platform.

15. Complaints and dispute resolution

15.1 Please raise any complaint with us first via the contact above.

15.2 Consumers may also contact the competent authority — in Latvia the Consumer Rights Protection Centre (PTAC), in Lithuania the State Consumer Rights Protection Authority, in Estonia the Consumer Protection and Technical Regulatory Authority (TTJA) — and may use the European Commission's Online Dispute Resolution platform where applicable.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Latvia, without prejudice to the mandatory consumer-protection laws of the country in which a consumer User is habitually resident and to the courts competent under those rules. For non-consumer matters, the courts of Latvia have jurisdiction.

17. General

17.1 If any provision is held invalid, the remaining provisions continue in effect.

17.2 We may communicate with you electronically (email and in-app notices), and you agree to receive communications in that form.

17.3 We may transfer our rights and obligations under these Terms in connection with a merger, acquisition or reorganisation, without reducing your rights.

17.4 These Terms, together with the Privacy Policy and any policy shown at booking, are the entire agreement between you and us regarding the Platform.

18. Changes to these Terms

We may update these Terms. Material changes will be notified in advance (e.g. by email or in-app notice) and take effect on the date stated in the notice. Continued use after that date constitutes acceptance.
